Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and SALK AI PRIVATE LIMITED (“SALK AI”, “we”, “us”), the operator of the RentCelebplatform (the “Services”).

By creating an account or using the Services, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, and any additional terms referenced in them. If you do not agree, do not use the Services.

You must be at least 18 years old and capable of forming a legally binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorised use.

RentCeleb is a marketplace that connects celebrities, talent representatives, and brands to negotiate and document the licensing of celebrity likenesses for AI-generated and other content. We provide tools to list profiles, generate contracts with structured pricing terms, route them for electronic signature, and manage deal records.

SALK AI is not a party to contracts executed between celebrities and brands. We do not provide legal, tax, or financial advice. You are solely responsible for the contracts you enter into and for compliance with the laws that apply to your engagement.

You retain ownership of content you submit to the Services (“User Content”), including likeness assets, biographical information, and deal documents.

You grant SALK AI a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, display, and transmit your User Content solely to operate, secure, and improve the Services and to perform the functions you request (e.g. generating and sending a contract).

You represent and warrant that you own or have all necessary rights to your User Content and that it does not infringe any third-party rights or violate any law.

The contracts generated by RentCeleb are templates parameterised by the inputs you and the counterparty provide. You are responsible for reviewing the final document before signing and for ensuring it reflects the deal you intend.

Electronic signatures are processed through our partner eSignatures.com. Signed contracts are binding under applicable law, including the Information Technology Act, 2000 (India), the U.S. ESIGN Act, and the eIDAS Regulation where applicable.

Some features of the Services are subject to fees. Where fees apply, they are disclosed before you commit to a transaction.

You are responsible for all taxes (including GST, withholding tax, and any other applicable levies) arising from your use of the Services or contracts you enter. Where required by law, we will collect and remit taxes.

Refunds and cancellations are governed by our Refund & Cancellation Policy.

You agree to comply with our Acceptable Use Policy. In particular, you may not impersonate any person, upload a likeness you do not control, generate deceptive or defamatory content, or use the Services to violate applicable law.

The Services, including all software, designs, templates, text, graphics, and the “RentCeleb” brand, are owned by SALK AI PRIVATE LIMITED or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of the Services.

The Services rely on third-party providers, including authentication (Clerk), e-signature (eSignatures.com), and analytics. Your use of those providers may be subject to their own terms and privacy policies. We are not responsible for third-party services.

We may suspend or terminate your access if we believe you have violated these Terms, presented a risk to us or other users, or as required by law. You may stop using the Services at any time. Provisions that by their nature should survive termination — including ownership, indemnities, disclaimers, limits of liability, and dispute resolution — survive.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTRACT GENERATED WILL BE ENFORCEABLE IN A PARTICULAR JURISDICTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALK AI PRIVATE LIMITED AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) INR 10,000.

You agree to defend, indemnify, and hold harmless SALK AI PRIVATE LIMITED and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) your User Content, (ii) your use of the Services, (iii) your breach of these Terms, or (iv) your violation of any law or third-party right.

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts at Bengaluru, Karnataka, India have exclusive jurisdiction over any disputes, subject to applicable mandatory consumer protections.

We may modify these Terms from time to time. If a change is material, we will provide reasonable notice through the Services or by email. Your continued use after the effective date of the updated Terms constitutes acceptance.
